Terms of Use

These Terms of Use (the “Terms”) govern your access to and use of TIFF’s website and applications, including without limitation TIFF.net and TIFF: The Market App (collectively the “TIFF Network”). Carefully read these Terms before accessing or using the TIFF Network. Your accessing or use of the TIFF Network indicates your acceptance of the Terms and your agreement to be bound by them. Certain sections and provisions are expressly identified as applying to the App (as defined below) and apply only to those users who access or use the App.

The Terms form a binding agreement ("Agreement") between you and Toronto International Film Festival Inc. (“TIFF”). We may change these Terms at any time without advance notice. Changed terms will become effective once posted on this website. Your continued use of the TIFF Network after any change means you have accepted the changed terms.

All references to money amounts in this Agreement, unless otherwise specified, are in Canadian dollars.


Information Security

The TIFF website employs a Secure Server using SSL (Secure Socket Layer) encryption for the secure exchange of data between the patron and our system. The system supports both 40bit, 56bit and 128bit SSL encryption on virtually all browsers

The website transactions are secured using a Thawte SCG Digital Certificate. This ensures that all information you send to us via the World Wide Web will be encrypted. If any other Internet user intercepts the communication he/she should only be able to see it in an encrypted (garbled) form. Certificate technology allows us to decrypt the information, and view it in plain text form. TIFF’s web server resides behind a dedicated Firewall in a separate secure network. This protects and isolates TIFF’s web server.

The App employs SSL/TLS encryption to help protect data in transit between the patron and our systems, and Advanced Encryption Standard (AES) encryption to help protect data at rest within our systems. You acknowledge that personal information collected on the App may be transferred to and processed by parties located outside of Canada.

TIFF’s transaction system provides many other elements of security and risk management including protections that reduce the risk of fraudulent credit card number generators, redundant accidental transactions, and more.

No credit card information is maintained on TIFF’s web servers.

Although the TIFF Network uses encryption technology and other means of security, there is no guarantee that personal information and transactions on the internet will be maintained confidential and secure. Your use of the TIFF Network and its content are at your own risk and TIFF assumes no liability or responsibility pertaining to the TIFF Network, or its content or the receipt, storage, transmission or other use of the information you provide through the TIFF Network.


TIFF: The Market App Account

You will be required to register for an account (“Account”) to use the TIFF: The Market App (the “App”). Your Account username may not include the name of another person with the intent to impersonate that person, or be offensive, vulgar or obscene. Your Account username and password are personal to you. You may be required to verify your identity to activate your Account, which may be required to be done through a third-party verification platform. You will be responsible for the confidentiality and use of your username and password, and for all activities that are conducted through your Account. You may not transfer or sell access to your Account. TIFF will not be liable for any harm related to disclosure of your username or password or the use by anyone else of your username or password. You may not use another user’s Account without that user’s permission. Your Account must contain complete information and be up to date, accurate, and verifiable. You will immediately notify TIFF in writing if you discover any unauthorized use of your Account or other Account-related security breach. TIFF may require you to change your username and/or password if TIFF believes in its sole discretion that your Account is no longer secure or if TIFF receives a complaint that your username violates someone else’s rights. You will have no ownership in your Account or your username. TIFF may refuse registration, restrict the number of accounts you can create, suspend or cancel an Account or deny access to your Account, or the App for any reason in its sole discretion. You agree to promptly update any information that you have provided in your Account in order to ensure that it remains complete and accurate at all times and to allow TIFF to provide you with any notice or communication.

TIFF reserves the right to verify that accounts were established by an individual(s) that has the authority to bind itself to these Terms and that the information provided on the Account opening forms is accurate. Until such verification is complete to TIFF’s sole satisfaction, TIFF shall have no obligation to process any order form and/or may close the Account(s) in question.

To use the App and/or register for an Account, you must be at least 18 years old. If you are ages 13 - 17 , you may register for an Account and use the App only if authorized by your parent or legal guardian, who must accept these Terms on your behalf. Your parent or legal guardian is responsible for your online conduct and use of the App. In no event may anyone under 13 years of age register for an Account or use the App.

If you are using an Account and the App on behalf of a business or other entity, you represent and warrant that you are authorized to bind the business or entity to these Terms, and that you agree to these Terms on the business’s and/or entity’s behalf. All references to “you” and “your” in these Terms shall mean both you and the business.


TIFF: The Market App Acceptable Use

You may only access and use the App for legal, authorized, and intended purposes. You represent and warrant that you will not use, or assist others in using, the App to: (i) violate or infringe upon TIFF’s rights including privacy, publicity, intellectual property, or other proprietary rights, or those of other App users; (ii) participate in conduct that is illegal, obscene, hateful, racially or ethnically offensive, discriminatory, unprofessional, harmful, or behaviour that defames, threatens (including threats of violence), abuses, intimidates or harasses another person, or instigate or encourage behaviour that would be illegal or otherwise inappropriate; (iii) publish or otherwise disseminate false or misleading statements or misrepresentation; (iv) impersonate another individual or entity; or (v) send illegal, inappropriate, or otherwise restricted communications such as mass messaging or auto-messaging. TIFF reserves the right, and has absolute discretion, to the fullest extent permitted by applicable law, to remove, screen, edit, omit, modify, or delete any content posted and/or made available by you (including by you) at any time, for any reason, and without notice or compensation.

You represent, warrant, and agree that you will not, and will not permit, encourage, or assist any third party to, directly or indirectly, through any means, access, use, reproduce, copy, adapt, modify, translate, create derivative works of or based upon, distribute, license, sublicense, assign, transfer, display, perform, or otherwise exploit the App except as expressly authorized. You further agree not to engage in any activity that may place an unreasonable burden on, impair, disrupt, damage, or otherwise adversely affect TIFF, the App, TIFF’s systems, other users of the App, or any other person or entity. Without limiting the generality of the foregoing, prohibited conduct includes: (i) violating any applicable law or regulation; (ii) decompiling, extracting code from, reverse engineering, altering, or otherwise modifying the App; (iii) using the App to store viruses or other harmful or malicious computer code and/or transmit it to others; (iv) circumventing or attempting to circumvent any technological protection measures of TIFF and/or the App; (v) creating Accounts contrary to the manner allowed in the Terms, including by automated means; (vi) unauthorized collection of App users’ information; (vii) selling, reselling, distributing, renting, or charging for the App, any derivative works created from the App, Account(s), or data obtained from TIFF or the App in an unauthorized manner; (viii) creating and offering unauthorized software or APIs that are substantially similar to the App; or (ix) submitting fraudulent, baseless or vexatious claims via reporting channels.

By submitting, uploading, posting, or otherwise making available or providing any content and/or material through the App, you confirm and represent and warrant that (i) you own or have (or have) obtained, all necessary rights, licenses, consents, permissions, power, and/or authority required to provide such content and/or material and to grant the rights contemplated herein, including obtaining written consent from any identifiable individual depicted or referenced therein for the use of their name, image, and likeness; and (ii) you waive any and all moral or similar rights in any such content and/or material, and agree to provide written evidence of such waiver if requested by TIFF. You further represent and warrant that your content and/or material do not infringe or violate any copyright, proprietary, or other third party rights, unless you have obtained all required permission or otherwise have the legal right to submit the content and grant TIFF the applicable rights and license described herein.

TIFF may, including by providing the App, help connect you to other Market delegates and participants who offer you opportunities (on behalf of themselves, their organizations, or others), such as offers to engage in a business relationship with you. You acknowledge that TIFF does not perform or provide any such services, work, or opportunities, nor supervise, direct, control, or monitor Market delegates and/or participants in the making of these offers, or in their providing you with work, purchasing or engaging with your work, delivering products, performing services, or otherwise forming business relationships. You agree that (i) TIFF makes no representations or warranties and is not responsible for these offers, or performance or procurement of them; (ii) TIFF does not endorse any particular offers; and (iii) TIFF is not an agent on behalf of any Market delegate offering employment or other work, products or services.

Your use of the App may be monitored and controlled by TIFF and/or its service providers for compliance purposes at any time.


TIFF: The Market App Operation

In order to operate and provide the App, TIFF requires the ability to use and copy the information and content you provide in connection with the App. You grant TIFF a worldwide, non-exclusive, royalty-free, sublicensable, and transferable licence to use, reproduce, distribute, create derivative works of, display, and perform the information and content that you upload, submit, send, or receive on or through the App. The rights you grant in this licence are for the limited purpose of operating and providing services through the App, such as enabling TIFF to display your profile picture and contact information (including to other Market delegates and/or participants), transmit your messages, and store your undelivered messages on our servers as we try to deliver them.

TIFF grants you a limited, revocable, non-exclusive, non-sublicensable, and non-transferable licence to use the App, subject to and in accordance with these Terms. This licence is for the sole purpose of enabling you to use the App as permitted herein. Besides the licences and rights expressly granted to you, no other licences or rights are granted to you by implication or otherwise.

TIFF neither supplies nor is responsible for any devices, software, and data connections required for you to use the App. You acknowledge that it is your responsibility to ensure your device is capable of accessing and operating the App, and that performance of the App may be affected by your device’s compatibility. You consent to manually or automatically download and install updates to the App and to receive notifications via the App from time to time, as necessary for its operation. You acknowledge that you are responsible for all carrier data plans, Internet fees, and other fees and taxes associated with your use of the App.

TIFF does not warrant that it will store or show any information, including content, that you upload, submit, send, or receive on or through the App. You acknowledge and agree that TIFF has no obligation to store, keep, maintain or provide you a copy of any content or other information that you or others provide, except to the extent required by applicable law and as noted in our Privacy Policy. You acknowledge and accept that TIFF is not responsible for any unavailability of the App beyond our control.

Trade-marks

Certain names, graphics, logos, icons, designs, words, slogans, titles and phrases on our web-site constitute registered and unregistered trade-marks of TIFF (collectively the "Marks"). The Marks include, without limitation, TIFF®, Toronto International Film Festival®, Festival International Du Film De TorontoMC, TIFF Festival®, TIFF Industry®, TIFF Kids®, TIFF Next Wave®, TIFF Learning®, TIFF Cinematheque®, TIFF Membership™, TIFF Shop®, TIFF Rising Stars®, TIFF Nexus™, TIFF Noir™, Jump Cuts®, Reel Talk®, Canada's Top Ten Film Festival™, Film Circuit™, Higher Learning™, Student Film Showcase™, Film Reference Library™, TIFF Kids International Film Festival™, TIFF Next Wave Film Festival™, Studio™, TIFF Bits™, digiPlaySpace®, Talent Lab™, Pitch This!™, FOR THE LOVE OF FILM® and associated logos.

Any unauthorized use, downloading, re-transmission, or other copying or modification of trademarks may be a violation of federal or other law that may apply to trademarks and such actions could subject the copier to legal action.

Please note that the absence of a Mark from this list does not constitute a waiver of TIFF's trade-mark or other intellectual property rights.

Some trade-marks on this site are owned by other parties who have granted TIFF a licence to use their marks.

Copyright protection is automatic in Canada. A work need not be registered with the Canadian Copyright Office nor does it have to be marked with a © to indicate that it is copyright protected.

It is important to understand the basics of Canadian copyright law and how it relates to film and underlying works such as music, literature, and promotional material for film. As well, it is important to know that Canada is a member of two international copyright treaties. Thus, when work is used in Canada, Canadian copyright law applies; when it is used in another country such as Germany, German copyright law applies.

("TIFF") and may be protected by copyright and other proprietary rights or subject to restrictions. Copyright and other proprietary rights in the content on the TIFF Network may also be owned by individuals and entities other than, and in addition to, TIFF, and used by TIFF under licence.


Fair Dealing

Fair dealing of copyrighted material includes the use of protected materials for noncommercial educational purposes, such as scholarship, research, criticism, commentary and news reporting. Unless otherwise noted, users who wish to download or print a single copy of text and image files, audio and video clips, or other content from the TIFF Network for such uses may do so without TIFF’s express permission, provided that they comply with the conditions set out below. TIFF expressly prohibits the copying of any materials on the TIFF Network, except for the purposes of fair dealing as defined in Canadian copyright law, and as described above.

The content may only be used for personal, educational or noncommercial purposes. Users agree by downloading, printing or otherwise using text and image files, audio and video clips or other content from the TIFF Network, that they will not violate TIFF’s or any other party’s proprietary rights. Users must cite the author and source of the content. The citation must include all copyright information, and other information associated with the content, and the URL for the TIFF website.


Restricted Uses

Unauthorized copying or commercial publication or exploitation of text, images, audio and video clips and other content of the TIFF Network including publication, retransmission, broadcast, circulation, selling, reproduction or redistribution, except as authorized by TIFF, is specifically prohibited. Anyone wishing to use any text, images, audio and video clips and other content for commercial use, publication, or any purpose other than fair dealing as defined by Canadian law, must request and receive prior written permission from TIFF. You covenant and agree not to use any screen scraping, framing, bots, spiders, crawlers, avatars, intelligent agents or other automated processes on the TIFF Network or its content, without TIFF’s written consent.

Permission for such uses may be granted on a case-by-case basis at the sole discretion of TIFF. A usage fee may be assessed depending on the type and nature of the proposed use.


Warranty

By uploading, downloading, printing, submitting, storing, sending, receiving, or otherwise using text, images, audio and video clips and other content from and on the TIFF Network, users agree and warrant that they will limit their use to fair dealing and will comply with all other terms and conditions of this website, and will not violate the rights of TIFF or any other person or entity.

TIFF makes no warranty, representation or covenant that use of the text, images, audio and video clips and other content displayed on or available through the TIFF Network will not infringe the rights of third parties other than TIFF. Furthermore, TIFF makes no warranty, representation or covenant that the TIFF Network and any text, images, audio and video clips and other content accessed from or available thereon will be uninterrupted, error free or corrected in the event of discovery of any errors, free of viruses or other harmful components, nor for any breach of security or any damage to your computer system or loss of data that may result from accessing, downloading, or using the TIFF Network or any materials from it. TIFF does not control, and is not responsible for controlling, how or when App users use the features, services and interfaces provided via the App. TIFF is neither responsible for nor obligated to control the actions, information, and/or content of App users or any other third parties. App users hereby release TIFF, our subsidiaries, affiliates, TIFF’s directors, officers, employees, partners, and agents, and those of our subsidiaries and affiliates from any claim, complaint, cause of action, controversy, dispute, or damages, known and unknown, between you and another App user or any other third party, or relating to, arising out of, or in any way connected to the same.

Entire Agreement

These Terms and any other legal notices, policies and guidelines of TIFF linked to these Terms constitute the entire Agreement between you and TIFF relating to your use of the TIFF Network and supersede any prior understandings or agreements (whether oral or written), claims, representations, and understandings of the parties regarding such subject matter. This Agreement may not be amended or modified except by TIFF making such amendments or modifications available on this website.


Governing Law

TIFF, the TIFF Network and the content of the TIFF Network (excluding linked web sites or content) are physically located within the Province of Ontario, Canada. This Agreement will be governed by the laws of the Province of Ontario and the federal laws of Canada and shall be treated in all respects as an Ontario contract, without reference to the principles of conflicts of law. In the event of a dispute, you and TIFF agree to submit to the non-exclusive jurisdiction of the Ontario courts. You and TIFF expressly exclude the UN Convention on Contracts for the International Sale of Goods, and the International Sale of Goods Act (Ontario) as amended, replaced or re-enacted from time to time. We have required that this Agreement and all documents relating thereto be drawn-up in English. Severability

Any provision of this Agreement which is prohibited or unenforceable in any jurisdiction shall, as to that jurisdiction, be ineffective to the extent of such prohibition or unenforceability and shall otherwise be enforced to the maximum extent permitted by law, all without affecting the remaining provisions of this Agreement or affecting the validity or enforceability of such provision in any other jurisdiction.


Enurement

This Agreement shall inure to the benefit of and be binding upon you and TIFF and our respective successors and permitted assigns. You acknowledge having read this Agreement before accepting it, having the authority to accept this Agreement and having received a copy of this Agreement.
